Terms & conditions

1- DEFINITIONS

In the following cases, "the Seller" shall mean LABOT AUTOMATION Co.,Ltd.

The Buyer" shall mean the person to whom the Goods (as hereafter defined) are to be supplied.

The Goods" shall mean the items purchased or the provision of services agreed to by the Seller, to be supplied under the Contract.

The Contract shall mean the agreement between the parties hereto comprising the Seller's Order Confirmation, these Terms and Conditions and any other documents (or parts thereof) incorporated by reference in the Seller's Order Confirmation and any Terms and Conditions relating to the erection and installation of the Goods mutually agreed in writing between the parties subsequent to the Seller's Order Confirmation.

 

2- PRICING

All prices shown on the company’s price list, or on quotations offered by them, are based upon the acceptance of these conditions. Any variation of these conditions requested by the buyer could result in changes in the offered pricing or refusal to supply.

 

3- PRODUCT AVAILABILITY & SPECIFICATION

Every effort is made to stock all products listed at all times. Whenever possible orders will be dispatched same/next day but completion will be subject to availability.

Every care has been taken to describe items correctly. Measurements are provided for guidance only and may vary from that shown. No responsibility can be accepted for errors and omissions: we reserve the right to withdraw or alter specifications where necessary and without notice. All products are of good commercial quality.

 

4- DELIVERY POLICY

A- Dispatch will be in 1 to 3 days if the goods are in stock

B- Dispatch will be in 5 to 7 days if the item is coming from the Manufacturing stock.

C- For dispatch in excess of 7 days, the customer will be notified in writing via the Proforma invoice and emails and will not be charged unless the delivery time is agreed to.

D- The seller will notify the buyer of any change to delivery time generated by the manufacturer after an order has been placed.

E- The seller is not responsible for any change made by the manufacturer to delivery time nor for a manufacturer being unable to supply a product after an order has been placed. Equally, the seller is not liable for any repercussions, fine, cost or other to the buyer which occur as a result.

F- If the seller is unable to deliver for any reason, for example, an item is no longer in production, or is out of stock, the buyer will be notified and either offered a replacement, as advised by the manufacturer or a refund.

G- Delivery will be made by one of the major delivery companies (UPS/DHL/TNT/FedEx)

H- The buyer should inspect the contents of the package immediately. Any damage, incorrect items, or other issues must be reported within 5 days of receiving the order.

 

5- SHIPPING / SHIPPING INSURANCE

A- The prices quoted are Ex-work. A quote can be obtained for shipping costs if the customer requests this. Shipping insurance will be offered too. If the customer prefers not to take it, the seller will not be held responsible for any damaged or lost packages during shipping.

B- The shipping insurance is with the shipping company (courier) and not with the seller.

C- The seller will cooperate with the buyer to process an insurance claim on a lost or damaged package during shipping if the customer has paid for shipping insurance.

 

6- CANCELLATION / REFUND POLICY

Any cancellation of the Contract/Order by the Buyer shall be effective only if made in writing and only if accepted in writing by the Seller. Handling fee, cancellation fee, insurance fee and all related additional costs are borne by the Buyer.

Cancellation and refund varies from item to item depending on whether, for example, it is new, refurbished, a repair, a service exchange, software or hardware. Please contact us if you require more information.

Default items will be replaced as follows:

- 1 to 3 days if the item is in stock

- If a replacement is not stocked by the Seller or the manufacturer, the Buyer will be notified by the expected lead time.

If neither repair nor replacement is available, the Seller will refund only the price that has been paid for the product/s within due course. The Seller is not liable for any other costs, including but not limited to: shipping, customs/duties, breakdown, insurance, labour, installation, loss of earnings, other losses, damage or downtime.

Return and cancellation does not cover goods which have been wrongly ordered. It is the Buyer's sole responsibility to ensure that the product is suitable for the application and that it complies with any technical, legal or regulatory requirements.

 

7- STORAGE

If the packing or despatch of the Goods is delayed by any act or omission of the Buyer and the Buyer does not arrange promptly for the Goods to be stored elsewhere, the Seller shall be entitled to arrange for the Goods to be stored at the Seller's risk and the Buyer shall indemnify the Seller against all costs, insurance and expenses arising out of such storage. Furthermore, if the Goods are stored at the Seller's premises, the Buyer shall pay the current charges for the same.

 

8- WARRANTY AND RETURNS

A. All items are supplied under warranty for a period of 12 calendar months or as stated on Seller's Order Confirmation/Proforma .The guarantee is limited to the cost of repairing the part or the cost of the replacement part, providing that the part or parts are returned to the Seller's warehouse by the Buyer, carriage paid.

B. The Seller shall be under no liability under the above guarantee or for any other warranty, condition or guarantee, if the total price for the Goods has not been paid by the due date for payment.

C. The Seller guarantees to the Buyer that if the product is or becomes defective and that if in the opinion of the Sellers Technicians , the defect is due to faulty materials or workmanship, the Seller will from the date of sale of the product to the Buyer, to the end of the warranty period appropriate to the product as advised by the Seller, repair or replace, free of charge, any such defective component part of the equipment, subject to the following conditions:

    1- The product has at all times been used in accordance with the operating instructions issued by the manufacturers

    2- The warranty only covers breakdowns or faults due to defect in materials or workmanship.

    3- If the return has been approved by the seller, the seller should receive the units back in their premises within two weeks.

D. Should a breakdown occur and a replacement product be provided in place of a repair to the original product, the replacement product shall be regarded as a like for like replacement and the balance of any remaining warranty period will transfer to the replacement product. Subject to product availability the Seller reserves the right to provide a fully refurbished exchange unit as the replacement product. Should this remedy be unavailable, an alternative model will be provided as the replacement product. If an alternative model is provided, it will be of the same or of a higher specification than the product replaced. When a replacement product is provided, ownership of the replacement product will vest in the Buyer and ownership of the replaced product will vest in the manufacturer.

E. The warranty doesn’t cover

 1. Wear & tear, gradual deterioration in performance;

     2. Component parts which, due to their nature, become worn and are expected to be replaced in normal use; cosmetic items; remote controls; keyboards; controllers or parts and consumable items such as lamps, filters, batteries, tapes, drive belts, cables, leads, connectors etc;

     3. Equipment that has been in use for more than a specified period of time or operated for more than a specific number of hours as advised by the manufacturers;

     4. Any requirement to clean or remove dust or other material deposits from the surfaces of LCD panels or optical devices or from other so affected parts or systems.

F.  The warranty is void in the following cases

 1. Alteration or removal of the serial number or name plate

     2. Alteration or removal of the Warranty stickers

     3. Opening the product, attempting to repair, altering or modifying or others without the seller's authorization

     4. Failure can be caused by using unauthorized or unsuitable software, connecting to incompatible equipment, exposure to moisture, fluids, or foreign objects, physical or electrical stress, connecting to an electrical supply for which it has not been adjusted, lightning strikes,  incorrect storage, operation or use of the product in unsuitable environments or inappropriate applications, incorrect installation, or lack of routine maintenance as mentioned in the operating instructions supplied with the product.

     5. The warranty does not cover accidental damage or damage caused by negligence or misuse, incorrect fitting of lamps, filters, batteries, or other consumables or parts, or the usage of parts or consumables not approved by the manufacturer.

 

9- Risk and Liability

The risk in the Goods or any part thereof shall pass from the Seller to the Buyer on the same day that the Goods are ready for shipment, notwithstanding any obligations the Seller may have in respect of packaging, delivery, erection, installation or assembly.

Under no circumstances whatsoever, shall the Seller be liable to the Buyer, whether in contract, tort (including negligence), breach of statutory duty, or otherwise or to any third party agent or employees, in respect of any direct, indirect, incidental, special or consequential costs, damages or losses arising from using the product supplied. These include but are not limited to:

loss of business, profit, contract, production, earnings, anticipated savings or opportunities

loss of or damage to goods

loss or corruption of data

loss of goodwill, trust or reputation

charges or expenses

cost of disassembly or reconstruction

cost of renting or transporting equipment or components

 

10- BUYER'S DEFAULT

If the Buyer defaults or breaches its obligations to the Seller, the Seller may immediately suspend or terminate the contract, without prejudice to any other rights or claims.

 

11 INSURANCE

The responsibility for insuring the Goods after the risk in them has passed to the Buyer shall be that of the Buyer.

 

12- DAMAGE IN TRANSIT

The seller shall not be liable for any loss of or damage to the goods once the risk has passed to the buyer.

 

13- PRIVACY POLICY

We do not store or share credit card information with any third parties.
